Key Responsibilities

1.Contract Drafting & Negotiation:

•Draft, review, negotiate, and finalize a variety of export-related agreements, including International Distribution Agreements, Supply Agreements, Logistics & Cold Chain Service Agreements, Quality Agreements, and Confidentiality Agreements.

•Ensure contract terms align with company policies, regulatory requirements, and international trade laws (INCOTERMS).

•Negotiate favorable terms while maintaining strong, collaborative relationships with external partners.

2.Compliance & Risk Management:

•Serve as a subject matter expert on contractual clauses related to regulatory compliance, product liability, intellectual property, temperature excursions, and recall procedures specific to vaccines.

•Identify, assess, and mitigate contractual, operational, and regulatory risks associated with international vaccine distribution.

3.Process & Lifecycle Management:

•Manage the entire contract lifecycle from initial request through execution, renewal, amendment, and termination.

•Maintain a centralized, organized contract repository and database, ensuring all documents are accessible and version-controlled.

•Implement and improve contract management processes, templates, and checklists to increase efficiency and accuracy.

4.Cross-Functional Collaboration:

•Act as the primary liaison between the Export Department and Legal, Regulatory Affairs, Quality Assurance, Supply Chain/Logistics, Finance, and Commercial teams.

•Provide clear guidance and training to internal stakeholders on contractual obligations, processes, and best practices.

•Resolve contractual disputes and discrepancies in collaboration with relevant departments.

5.Performance & Obligation Monitoring:

•Track and monitor key contractual milestones, deliverables, pricing, and rebate structures.

•Support audits (internal and external) by providing requested contract documentation and evidence of compliance.

Qualifications & Experience

•Education:

•Bachelor’s degree in Business Administration, Law, Supply Chain Management, Life Sciences, English, or a related field. A paralegal certification or advanced degree is a plus.

•Experience:

•Minimum of 1-3 years of experience as a Contract Specialist, Paralegal, or in a similar role, preferably within the pharmaceutical, biotechnology, or medical device industry.

•Must have demonstrated experience with international/commercial contracts. Direct experience with vaccine, biologics, or cold-chain products is a significant advantage.

•Solid understanding of INCOTERMS, international trade regulations, and key pharmaceutical regulatory frameworks.
