Job Summary

We are seeking a proactive and business-oriented Legal Counsel to join our Legal team in Beijing.
This role aims to look for a legal professional with strong foundational legal knowledge and track record of provision of legal support for business activities and company operation, who is able to work independently and integrate into the business as a strategic and pragmatic business partner and provide legal guidance and advise in the context of the business to achieve the company’s goals as well as navigate business in the fast changing environment to mitigate risks.

Key Responsibilities

· Provide advice and counsel on a variety of legal issues during the business activities (sales, procurement, claim management etc.) and factory operation.

· Draft, review, and/or negotiate a variety of contractual documents, such as bidding documents, sales contracts, and procurement contracts.

· Address legal inquiries and support business initiatives from internal stakeholders across departments and find pragmatic solutions that balance risk and business.

· Ensure the compliant and effective corporate governance structure and documentation of WFOEs and JVs, including drafting and reviewing amendments of Articles of Association, JV contracts, resolutions etc.

· Conduct legal research and provide summaries to team members.

· Support the development and maintenance of legal templates and guidelines.

· Ad hoc support as designated by the General Counsel or Senior Legal Counsels.

· 起草、审查和/或谈判各种合同文件，例如招标文件、销售合同和采购合同。

· 确保外商独资企业和合资企业合规有效的公司治理结构和文件编制，包括起草和审查公司章程、合资合同、决议等的修订。

· 进行法律研究并向团队成员提供摘要。

· 支持法律模板和指南的开发和维护。

· 由总法律顾问或高级法律顾问指定的临时支持。

Qualifications

· Bachelor’s degree in law; LLM or equivalent postgraduate legal qualification preferred.

· 3–5 years of relevant legal experience, ideally with commercial legal business partner experience in multinational company.

· Strong analytical skills, with the ability to understand complex legal issues and translate into simple, effective and pragmatic guidance for internal stakeholders.

· Track record of independently providing high-quality and timely results on a wide variety of commercial matters.

· Good business acumen and solution orientated.

· Excellent written and verbal communication skills in both Chinese and English.

· Ability to work effectively in a multicultural and global business environment.

· High attention to detail

· Ability to manage and prioritize multiple tasks.

· Team-oriented with a proactive attitude and willingness to learn.

· 法学学士学位;法学硕士或同等研究生法律资格者优先。

· 3-5 年相关法律经验，最好有跨国公司的商业法律业务合作伙伴经验。

· 较强的分析能力，能够理解复杂的法律问题，并转化为对内部利益相关者的简单、有效和务实的指导。

· 在各种商业事务中独立提供高质量和及时结果的记录。

· 良好的商业头脑和以解决方案为导向。

· 出色的中英文书面和口头沟通能力。
