职位：Legal Specialist（三方中智合同，续约/直签机会open）

1. Support of contract reviews on business units and functions on a broad range of business transactions to manage and mitigate potential legal risk, including draft, review and analyze various contracts, build and/or improve agreement management process and/or templates for contract, develop and/or improve bilingual policies/guidelines/processes to meet local business needs and at the same time, comply with global practice.

2. Maintain and govern 3 JVs and 13 Corteva legal entities in China, with collaboration with GLEM and APAC Legal, including but not limited to revise Articles of Associations and/or Shareholders Agreements, prepare and draft board meeting minutes and resolutions, file with government bureaus for changes of directors and addresses, prepare and issue POAs.

3. Maintain and govern legal systems and policies/processes such as Onit, CLM, hCue, chop management process.

4. Prepare and conduct training on different topics as needed.

5. Assist analysis and counseling on legal, policy and compliance issues as needed in the daily operation of the business units in Greater China.

1. 为业务部门和职能部门在各种商业交易中的合同审核提供支持，以管理和降低潜在法律风险，包括起草、审查和分析各类合同，建立和/或完善合同管理流程和/或合同模板，制定和/或完善双语政策/指引/流程，以满足本地业务需求，同时符合全球惯例。

2. 与全球法律主体管理团队和亚太区法务团队协作，维护和管理中国境内的三家合资公司和十三家法律实体，包括但不限于修订公司章程和/或股东协议，准备和起草董事会会议纪要及决议，向政府部门备案董事及地址变更，准备和出具授权委托书。

3. 维护和管理法律系统及相关政策/流程，如Onit、CLM、hCue、公章管理流程等。

4. 根据需要准备并开展各类主题的培训。

5. 根据大中华区业务部门日常运营的需要，协助提供法律、政策及合规问题的分析和咨询。

Skills and qualifications required:

· Law degree from top tier university and be admitted to practice law in China.

· 3+ years of post-qualification relevant legal experience obtained in large growth oriented multi-national company or top tier law firm.

· Strong written communication skills (both Chinese and English).

· A sound commercial and business orientation are essential.

· Must be willing to work with a hands-on approach.

· 毕业于较好的大学法学院并具有中国法律执业资格。

· 拥有3年及以上在大型成长型跨国公司或较好律师事务所取得相关法律工作经验。

· 较强的书面沟通能力（中英文）。

· 良好的商业和业务导向。

· 积极主动的工作态度，愿意亲力亲为。

薪资架构：税前*12薪、五险一金、补充商业险、年节福利、法定年假
